Summary

Gallagher's Q3 2026 brokerage adjusted margin rose to 35.3%, up 200 bp, as the prior-year interest base faded; 150 bp came from underlying gains and synergies.

Arthur J. Gallagher (AJG) reported third-quarter 2026 results (quarter ended September 30) on October 29, 2026; its Q3 2026 brokerage margin turned from a year-over-year decline to expansion, and other metrics met company expectations [1]. Four questions framed the quarter: could brokerage organic growth hold 5% as property rates eased, would the brokerage margin recover as prior-year financing interest rolled off, was the AssuredPartners integration on plan, and could the Gallagher Bassett claims business grow about 10% without losing margin. Brokerage organic growth was 5%, with base commissions and fees up 4% [2], while management now puts full-year brokerage organic growth at about 5%, versus about 5.5% before [3]. Gallagher Bassett posted 10% organic growth [4] and a 22.8% margin [5]. AssuredPartners produced $285 million of adjusted EBITDA, in line with the company's forecast, and synergy targets were maintained [6], although its organic growth still runs 1 to 1.5 points below comparable Gallagher business [7]. Overall, the growth picture is unchanged and the case for profit conversion is stronger.

Gallagher is an insurance brokerage and claims management company headquartered in Illinois that operates in about 130 countries; in 2025, brokerage and risk management contributed about 87% and 13% of revenue, respectively [8]. It takes no underwriting risk: brokerage earns premium-based commissions or fees plus interest on premiums held, and Gallagher Bassett charges claims service fees.

Brokerage margin moves from decline to expansion

Gallagher's brokerage adjusted EBITDAC margin reached 35.3% in the third quarter, 200 basis points above 33.3% a year earlier [1]. In the second quarter, the same margin had fallen 284 basis points year over year [9]. Brokerage adjusted EBITDAC was $1.222 billion versus $975 million a year earlier, while the nine-month margin of 36.5% stayed below the prior year's 37.9% [1].

The rebound comes directly from the high prior-year base rolling off. Gallagher completed the AssuredPartners acquisition in August 2025 [10], and the cash raised for the deal generated about $76 million of interest income in the third quarter of 2025 [1]. This quarter, brokerage interest income, premium finance revenues and other income totaled $104 million, compared with $157 million a year earlier [11]. The press release says prior-year interest income, AssuredPartners seasonality and tuck-in acquisitions together added about 0.4 percentage points to the year-over-year margin change, after weighing on the first half [12].

How much of the margin gain is operating improvement

The CFO's bridge attributes roughly 150 basis points to operating improvement. Underlying brokerage margin expanded 60 basis points, at the top of the company's September range; AssuredPartners pre-synergy earnings added 220 basis points, of which 180 basis points reflect a full quarter of AssuredPartners this year versus a partial quarter last year; and synergies added 90 basis points [13]. Working backward, the prior-year interest base and other items subtracted about 170 basis points, a figure the company did not disclose. The 220 basis points reflect consolidation scope, not efficiency.

Expense ratios support that reading. The brokerage adjusted compensation ratio was 51.3%, 1.7 points lower than a year earlier, and the company said the roll-in of AssuredPartners and synergy savings more than offset the effect of the prior-year interest base [14]. The adjusted operating expense ratio was 13.4%, 0.3 points lower [15].

The improvement has limits. The full-year target of 40 to 60 basis points of underlying expansion depends on the fourth quarter, and the bridge comes only from call remarks. The CFO said that if brokerage organic growth is about 5% in 2027, underlying margin could expand 50 to 75 basis points, with additional synergies on top [16]; that outlook is conditional.

Conclusion

The report leaves the growth assessment unchanged but strengthens the view on profit conversion: the first-half margin decline came mainly from measurement effects, and roughly 150 basis points of underlying improvement and synergies were real operating results this quarter. The press release has no cash flow statement, so cash generation cannot be judged. With no financing interest in the fourth quarter of 2025, the next reported margin will directly reflect underlying improvement and synergies. The fourth quarter will also test whether the $160 million annualized synergy run rate is reached by year end [6], and whether brokerage organic growth stays near 5% once AssuredPartners enters the organic base for the first time, which the company says adds about 20 to 25 basis points of headwind [3]. If the margin stops expanding in the fourth quarter or underlying expansion falls below 40 basis points, the improvement conclusion would weaken.
