Welltower (WELL) Q3 2026 Earnings: Pricing Lifts Same-Store NOI 21%

Summary
Welltower Q3 2026 same-store senior housing NOI rose 21.0% as RevPOR grew 5.3%; normalized FFO of $1.67 a share beat share growth, though new assets lag.
Welltower (WELL) Q3 2026 earnings showed senior housing pricing taking over from occupancy as the growth driver. Welltower reported third-quarter 2026 results in an 8-K filed on October 26, 2026, and the results strengthened the earlier view of its same-store operations and per-share growth [1][2]. Three questions mattered going into the quarter: whether same-store growth could hold near 20% as occupancy gains narrowed, whether equity-funded acquisitions could keep lifting per-share earnings, and whether newly acquired, lower-occupancy communities were ramping up. The first two were confirmed. Same-store NOI grew 21.0%, normalized FFO was $1.67 per share, and the company raised its full-year guidance [1]. The third showed no improvement yet, because occupancy and margin at the newer assets were slightly below the second quarter [2]. Growth this quarter came mainly from pricing and cost control at existing communities.
Welltower is a real estate investment trust focused on senior housing in the United States, the United Kingdom and Canada [2]. Most of its profit comes from senior housing communities it owns and hires third-party operators to run. The company collects monthly fees from residents, bears the full operating cost, and keeps the difference [3]. At the end of the third quarter, this operating business made up 70.0% of annualized in-place NOI, a property-level measure of operating profit [2].
Same-store senior housing NOI grew 21% as pricing offset slower occupancy gains
Pricing is starting to replace occupancy as the main growth driver in Welltower's same-store senior housing portfolio. After the same-store pool was reset to 1,052 properties, average occupancy rose from 87.0% to 90.2%. That gain of 320 basis points was slightly below the second quarter's 330 basis points. Revenue per occupied room (RevPOR) grew 5.3%, up from 5.2% in the second quarter [2]. Management attributed the faster pricing to street rates for new residents and said RevPOR grew more than 6% in communities above 90% occupancy [4]. RevPOR slipped from $6,074 in the second quarter to $6,066, so the acceleration currently appears only on a year-over-year basis [2].
Same-store costs stayed under control. Expense per occupied room (ExpPOR) rose only 0.8%, and compensation expense grew 4.4%, below same-store revenue growth of 9.1% [2]. Same-store NOI rose from $499.5 million to $604.3 million, an increase of 21.0%. The same-store margin reached 31.7%, up 310 basis points from a year earlier, and about 66% of incremental revenue converted into NOI [2][4]. Welltower raised its full-year same-store senior housing NOI growth guidance from 18.5%-21.5% to 20.25%-21.75% [2].
Normalized FFO per share grew faster than the share count
Equity-funded acquisitions still added to per-share earnings this quarter. Normalized FFO, an operating earnings measure that adds back depreciation and excludes nonrecurring items, was $1.67 per share. That was up 24.6% year over year, faster than the 10.1% increase in average diluted shares [1]. Net debt to adjusted EBITDA was 3.02x at quarter end, compared with 2.99x at the end of the second quarter [1]. Welltower raised its full-year guidance from $6.36-$6.44 to $6.47-$6.53 per share. Based on $4.74 for the first three quarters, the guidance implies $1.73-$1.79 for the fourth quarter [1].
Two qualifications apply to this growth. First, normalized FFO added back $187.7 million, or about $0.25 per share, in the quarter, mainly for transaction costs and HC-One restructuring costs. Under the standard NAREIT definition, FFO per share rose from $1.20 to $1.42, an increase of about 18% [1]. Second, Welltower raised about $3.1 billion in the third quarter through share issuance and operating partnership (OP) units, and average diluted shares rose 2.3% from the second quarter [4][5]. Another $7.7 billion of investments has closed or is under contract after quarter end, so the share base will grow further [1].
Newly acquired communities have not yet shown a ramp-up
The newer assets are still pulling down portfolio results. Welltower's newly disclosed non-same-store senior housing pool covered 758 properties, with 84.3% occupancy and a 27.2% margin. Both figures were slightly below the second quarter's 84.5% and 27.4% [2]. The 43 communities bought in the third quarter were only 66% occupied, and management said it usually changes operators after an acquisition, which causes short-term disruption [4]. Because the same-store pool resets every quarter, the non-same-store pool does not hold the same assets from one quarter to the next, so the data cannot yet show whether the newer assets have started to improve. Recurring capital spending on senior housing also rose from $98.8 million in the second quarter to $137.8 million, which reduces distributable cash [2].
Conclusion
The quarter shows Welltower's growth shifting from occupancy recovery to pricing, which helped per-share FFO grow faster than the share count [2][1]. The quality of that profit conversion deserves a discount, because larger normalizing add-backs left growth on the standard measure at about 18% [1]. On cash, equity funding and capital spending are both still rising. Three tests come next: whether RevPOR keeps rising on a sequential basis, when occupancy and margin in the non-same-store pool start to recover, and whether fourth-quarter normalized FFO per share reaches the $1.73 or more implied by guidance.
