Vertiv (VRT) Q3 2026 Earnings: 55% Organic Growth, 25.2% Margin

Summary
Vertiv Q3 2026 net sales rose 61% to $4.313 billion with 55% organic growth and a 25.2% adjusted margin, beating guidance, though inventory grew faster than advances.
Vertiv (VRT) Q3 2026 earnings beat the company's own guidance on revenue, profit and cash flow. In its third-quarter 2026 results release, Form 10-Q and earnings call on October 28, 2026, covering the quarter ended September 30, Vertiv showed that its second-quarter slowdown was mainly a timing issue [1][2][3]. Coming into the quarter, three questions stood out: whether revenue delayed from the second quarter would turn into 34%-36% organic growth, whether adjusted operating margin could rise to 24.5% while deliveries were concentrated and new capacity ramped, and how much of the first half's advance-payment-driven cash flow would reverse [4]. Organic growth reached 55% and adjusted operating margin reached 25.2%, both well above company guidance; adjusted free cash flow also beat expectations, but inventory grew faster than customer advances [1]. Overall, the growth case strengthened, the margin gain came mainly from spreading costs over higher volume, and cash conversion leaned more on supplier payment terms.
Vertiv supplies data centers and other sites with power distribution and uninterruptible power supplies, switchgear, air and liquid cooling equipment, prefabricated modules and racks, plus maintenance services after installation. Its main customers are cloud providers, colocation data centers and enterprises, which order ahead to reserve capacity; Vertiv then delivers projects in phases. Profit comes from the spread between quoted prices and costs, cost absorption from higher volume, and higher-margin services.
Organic growth of 55% shows delivery capacity has caught up
Third-quarter revenue came in far above the guidance Vertiv gave in July. Net sales were $4.313 billion, up 61.2% year over year, including 55.0% organic growth and about $157 million from acquisitions [1]. The company had guided to third-quarter net sales of $3.65-$3.85 billion and organic growth of 34%-36% [4]. Organic growth was 66.2% in the Americas and 48.3% in Asia Pacific, while Europe, the Middle East and Africa (EMEA) swung from a second-quarter decline to 19.3% growth [1].
Higher delivery capacity, not just catch-up shipments, drove the increase. The CFO estimated that about $100-$150 million of revenue delayed from the second quarter was recognized in the third quarter [2]; even after removing all of it, organic growth stays near 49%. The 10-Q attributes Americas growth to higher volume from capacity expansion and large project execution [3], and management said new capacity, including the factory in Johor, Malaysia, is already contributing to third- and fourth-quarter growth [2].
Demand also strengthened. Management said third-quarter organic orders rose more than 100% year over year, that customers still place orders 12-18 months ahead, and that Vertiv does not plan to share orders data going forward [2]. The company raised full-year net sales guidance to $14.45-$14.85 billion, with 37%-39% organic growth; fourth-quarter guidance is $4.313-$4.513 billion with 49%-51% organic growth, roughly flat with the third quarter [1].
Adjusted operating margin rose to 25.2%, mostly from cost absorption
Third-quarter profitability also beat guidance. Adjusted operating profit was $1.087 billion, up 82.5% year over year, and adjusted operating margin was 25.2%, above the 24.5% guidance midpoint and the second quarter's 22.6% [1][4]. Vertiv raised the midpoint of its full-year adjusted operating margin guidance from 23.8% to 24.0% and guided to 25.3%-26.3% for the fourth quarter [1].
Operating leverage from higher revenue explains most of the margin increase. Based on the income statement, product gross margin was about 37.0%, flat with the second quarter; total gross margin was 38.1%, only 0.3 percentage point higher than a year earlier, while SG&A fell from 15.5% to 12.9% of sales [1][3]. By region, the Americas margin was 29.4%, essentially flat year over year, and the CFO said the large capacity ramp there caused some inefficiency; the improvement came mainly from EMEA (28.0%, versus 18.8% a year earlier) and Asia Pacific [1][2]. Services gross margin was about 44.1%, compared with about 42.2% a year earlier [1].
Conclusion
The third-quarter report changes the view of Vertiv's growth bottleneck: the second-quarter slowdown was mainly a timing issue, and new capacity has turned into revenue; margins beat guidance, but the expansion depends on revenue volume. On cash, third-quarter adjusted free cash flow was $652 million and current deferred revenue rose further to $4.121 billion, showing that customer advances did not unwind; however, inventory rose by $767 million and receivables by $632 million, so working capital swung from a source of cash in the first half to a use [1]. In October, Vertiv also completed the UIG acquisition for $1.45 billion in cash, extending into behind-the-meter power and microgrids [3].
The fourth-quarter tests are now clearer. Vertiv guides fourth-quarter revenue roughly flat with the third quarter; whether growth holds near 50%, whether margin reaches about 25.8% with slower volume growth, and whether adjusted free cash flow reaches the roughly $470 million implied by full-year guidance will show whether the improvement lasts [1]. Two caveats apply: Vertiv no longer discloses orders, and about $100-$150 million of the quarter's revenue was a one-time catch-up.
