Summary

Ferrovial grew 9M 2026 adjusted EBITDA 21.8% like-for-like, but Dallas toll yield growth slowed, revenue sharing jumped, and JFK terminal dividends are now locked until Phase B2.

Ferrovial (FER) reported its January-September 2026 operating results in a 6-K on October 27, 2026, covering a third quarter that ended September 30. Group growth stayed strong, but the Q3 2026 results show Dallas toll pricing gains slowing and converting less fully into profit, while the cash payback from the JFK New Terminal One moved further out [1]. Of the four questions investors had been tracking, US managed lanes still grew revenue per transaction at double digits but more slowly, with more of the increment going to state grantors; 407 ETR traffic fell while profit and dividends kept rising; construction margin and cash beat expectations, partly for timing reasons; and the JFK terminal held its opening date while its dividend lock-up was extended sharply. Overall, North American toll roads remain the profit engine, but the quality of growth is diverging.

Ferrovial develops and operates toll roads and also runs construction, airport and energy businesses [2]. Its toll roads charge drivers by distance, time and vehicle type, and its US managed lanes price dynamically according to congestion. In 2025 construction generated about 80% of revenue, while highways produced about two-thirds of adjusted EBITDA [2].

Dallas revenue per transaction slows and revenue sharing takes a bigger cut

All three Dallas managed lanes still grew revenue per transaction at double digits in Q3, but growth fell clearly. NTE, LBJ and NTE 35W rose 13.8%, 12.5% and 12.5% respectively [1], compared with first-half growth of 18.9% at NTE and 17.3% at NTE 35W [3]. Management said NTE had fewer congestion-driven above-cap pricing events, the vehicle-classification technology at NTE 35W has entered the comparison base, and the year-on-year contribution from both effects is starting to normalize [4].

Rising revenue sharing pushed asset-level profit growth below revenue growth. Revenue sharing is the portion of revenue paid to the state once revenue exceeds contractual levels; in Q3 the NTE 35W accrual rose 55.8% and the NTE accrual rose 146.1% [5]. As a result, NTE revenue grew 12.1% while adjusted EBITDA grew only 7.8%; at NTE 35W the figures were 12.4% and 8.9%; and at I-77 the revenue-share band stepped up from 25% to 50%, so 9M adjusted EBITDA fell 6.1% [1].

Highways profit growth slowed as a result, but the pricing model still holds. Highways adjusted EBITDA grew 12.4% like-for-like in the first nine months, below the first-half pace of 13.4% [1][3]. Revenue sharing rises with revenue under the contracts, so it is a recurring cost; the NTE capacity expansion opened early on September 25, and its effect on pricing and traffic is still to be seen [1][4].

JFK New Terminal One keeps its date, but the dividend lock-up is extended

New Terminal One still targets operational completion of Phase A on March 31, 2027, provided the contractor delivers its remediation plan [1]. In Q3 it completed basic operational readiness trials involving 15 airlines and still has 32 airline agreements; the company no longer discloses a construction progress percentage, which stood at 92% in the first half [1][3].

The Port Authority approved a delay to the later Phase B works, which changes when Ferrovial gets its cash back. The Phase B1 and B2 notice-to-proceed deadlines moved to September 2030 and June 2033, NTO will pay USD 75 million in additional rent, and the dividend lock-up now runs until the Phase B2 notice to proceed instead of Phase B1 [1]. The CFO said the B2 notice must be issued no later than June 2033, with no fallback [4]. Even if Phase A opens on time, Ferrovial's EUR 1,042 million of invested equity cannot receive dividends before B2 starts, and the actual unlock year remains unknown [1].

407 ETR and construction came in ahead of prior baselines

407 ETR traffic fell 7.1% in Q3, yet EBITDA still rose 15.8%, and approved 2026 dividends reached CAD 2.1 billion versus CAD 1.5 billion in 2025 [1]. Construction posted a 4.1% margin for the first nine months and EUR 591 million of operating cash flow, helped by lower bidding costs and prepayments received early [1][4].

New focus: two new managed lanes projects

I-24 reached commercial close in September and Phase 1 of I-285 East was awarded in October, extending growth beyond 2034 [1]. Neither project contributes revenue or backlog yet, and the EUR 6,725 million I-24 construction contract enters the order book only at financial close [1]. Management said equity contributions fall mainly in 2033-2035 and will not require issuing shares at group level [4].

Conclusion

Ferrovial's growth engine is still North American toll roads, but a smaller share of price increases is turning into profit. Project dividends of EUR 604 million and group net cash of EUR 1.66 billion in the first nine months show solid cash generation, while cash from the airport investment is pushed back until after the B2 start [1]. Whether Dallas pricing holds above 10% in Q4, whether 407 traffic declines narrow and whether the new terminal opens on time are the next tests of this view.
