Summary

Eni Q3 2026: refining swung to a €472M profit on a $28.1 SERM, funding a €1.3B special dividend, a €3.8B buyback and a raised €16.5B cash flow outlook.

Eni's third-quarter 2026 results show refining margins turning into profit and shareholder cash. Eni (E) released its results for the quarter ended September 30, 2026, on October 23, 2026 and held its earnings call the same day [1][2]. The open questions were upstream growth, refining margin capture and cash distributions. The refining, chemicals and transformation-sites segment swung from a €40 million loss in the second quarter to a €472 million profit [3], and Eni declared a special dividend of about €1.3 billion while raising its buyback to €3.8 billion [4]. Upstream output hit a record, but oil prices stayed above first-quarter levels, so the ability of volume growth to support profit has not yet been tested [5]. Profit and cash came in above prior baselines, though most of the fall in net borrowings came from portfolio transactions.

Eni is an Italian integrated energy company. It produces oil and gas in Africa, Norway and Southeast Asia, runs refineries, biorefineries and service stations in Italy, and earns most of its profit upstream [6].

Refining and biofuel margins turned into profit

Refining margins ran far above Eni's earlier assumption and showed up in segment profit. The Standard Eni Refining Margin (SERM) averaged $28.1 per barrel in the third quarter, versus $8.3 in the second quarter and a prior full-year assumption of $14 [7][8]. Refining adjusted operating profit, including the share of joint ventures, was €727 million. Eni attributed it to tight middle-distillate supply, better plant availability and the resumption of exports at the ADNOC associate, partly offset by higher freight costs [9]. Eni did not disclose a refinery utilization rate [7].

Chemicals and the transformation sites remained loss-making. Versalis chemicals lost €178 million, compared with roughly €70 million in the second quarter, because higher feedstock and energy costs were not passed through to selling prices [10]. The sites in transformation lost €77 million [11]. The segment total was €472 million [1].

Enilive, the biofuels business, posted record profit while processing less. Its adjusted operating profit was €410 million, up 76% year over year, even though bio throughput fell 17% because of planned shutdowns [12][13]. Eni raised Enilive's full-year EBITDA guidance to €1.4 billion [14].

The margin windfall is already fading. Management said on the call that SERM has averaged about $18 so far in the fourth quarter [15]. Since September 28, Eni has capped fuel prices at Enilive service stations [16], and management estimates the impact at a few hundred million euros per quarter, without disclosing how it splits between businesses [17].

Cash flow funds the special dividend, buybacks and lower debt

Cash flow held steady as oil prices eased, and Eni raised its full-year guidance. Adjusted cash flow from operations (CFFO) before working capital was €4.287 billion in the third quarter, against €4.469 billion in the second quarter [18][3]. Eni raised its full-year CFFO guidance from €15 billion to €16.5 billion, now assuming Brent at $95 and SERM at $18 [14][19]. With €11.634 billion generated in the first nine months, the target implies about €4.87 billion in the fourth quarter.

Eni is handing the excess cash to shareholders. The special dividend of €0.46 per share, about €1.3 billion, will be paid on December 9, and the buyback program rises from €3.4 billion to €3.8 billion [4]. By October 16, cumulative buybacks reached €1.955 billion, recently at about €100 million per week [20][21]. Total cash distributions for 2026 come to €8.2 billion [2].

Net borrowings fell to a record low, mostly through transactions. Net borrowings before lease liabilities were €6.702 billion on September 30, versus €11.271 billion on June 30 [22][3]. Deconsolidating Plenitude after moving to joint control with Ares cut net borrowings by about €2.75 billion, and outside capital for an upstream infrastructure portfolio added €1.75 billion [22]. Excluding those two items, net borrowings were roughly flat with the end of June. Third-quarter capital spending was €1.35 billion, and the €7 billion full-year guidance is unchanged [2][14].

Upstream growth has not yet faced lower oil prices

Upstream production set a record and profit largely held as oil prices eased from the second quarter. Output was 1,829 thousand barrels of oil equivalent per day, up from 1,789 in the second quarter, and Eni raised its full-year underlying growth guidance from about 5% to 6-7% [23][14]. E&P profit was €4.631 billion, 3% below the second quarter, while the share of joint-venture profit rose from €1.793 billion to €1.927 billion, mainly from the first full quarter of the Searah joint venture [5][24]. Because Brent was up 40% year over year and still above first-quarter levels, this quarter does not show whether growth can support profit once prices fall back [5].

Conclusion

The results improve the case for Eni's profit conversion and cash generation. Tight refining markets became segment profit and a special dividend, and offset the price-driven dip upstream. The durability is limited, because SERM has already eased in October and the fuel price cap will weigh on earnings. The next tests are whether fourth-quarter CFFO approaches €4.87 billion and whether net borrowings stay below their end-2025 level after the special dividend is paid.
