Summary

DoorDash Q3 2026 earnings: organic orders rose 17%, contribution profit reached 5.2% of GOV, and the company agreed to buy Instacart for about $17 billion.

DoorDash's Q3 2026 earnings, released on October 29, 2026 through an 8-K earnings release and a conference call, showed stronger profit conversion in its own business, and the company announced on the same day that it will acquire Instacart [1][2]. Earlier research on DoorDash focused on three questions: whether order growth and monetization excluding Deliveroo would hold, whether grocery and international businesses would lift order-level margins, and whether company margins would recover as guided while technology spending rose.

In the quarter ended September 30, orders excluding Deliveroo grew 17% and net revenue margin was 13.6%. Marketplace GOV of $33.941 billion landed inside guidance but slightly below the top of the range. Contribution profit and Adjusted EBITDA as a share of GOV both matched or exceeded the year-ago quarter [1]. Two caveats apply: about three-quarters of the sequential margin improvement came from a lower sales and marketing ratio, and the Instacart synergies cannot be verified before the deal closes.

DoorDash connects consumers, merchants and couriers in more than 40 countries through three marketplaces: DoorDash, Wolt and Deliveroo [3]. It collects commissions and advertising fees from merchants and delivery fees, service fees or membership fees from consumers, and recognizes revenue net of courier pay and promotions [4].

New Development: The Roughly $17 Billion Instacart Acquisition

DoorDash signed an agreement to acquire Instacart for $65.00 per share, an equity value of about $17 billion, with at least 75% of the consideration in cash [1]. The company plans to fund the cash portion with cash on hand and debt, has a bridge loan commitment and is targeting a capital structure that keeps investment-grade ratings. The deal is expected to close at the end of 2027 or in the first half of 2028 and needs stockholder approval and regulatory approvals in several countries [1]. The minimum cash consideration of about $12.75 billion is more than twice the roughly $5.98 billion of cash and short-term investments held at the end of September, so DoorDash would move from net cash to net debt after closing.

Management's case for the deal is that scale spreads the fixed cost of grocery fulfillment. The company said DashMart, its own inventory operation, reaches 99%+ fulfillment accuracy versus the low 90s at third-party stores, and that Instacart's orders would add delivery density [1][2]. DoorDash targets a multi-year path to $500 million or more of annual synergies net of investments, and expects to invest more than 100% of total synergies in the first year after close [1]. Instacart's business size and the loan amount were not disclosed in these materials, and the regulatory outcome is unknown.

Progress One: Grocery and International Did Not Dilute Order-Level Profit

Third-quarter contribution profit was $1.780 billion, or 5.2% of GOV, up from 5.0% in Q2 2026 and 5.1% a year earlier [1]. Contribution profit is gross profit minus sales and marketing expense, a measure of order-level profit. The year-ago quarter did not include Deliveroo, yet the consolidated result still exceeded it. DoorDash said U.S. grocery and retail grew more than twice as fast as U.S. restaurants and that international profit contributions beat its expectations, and management said the new verticals portfolio is close to gross profit breakeven [1][2].

The sources of the improvement were uneven. Based on the company's figures, about three-quarters of the sequential gain came from adjusted sales and marketing falling from 2.34% to 2.13% of GOV [1]. Deliveroo revenue was $365 million, below $383 million in Q2 2026, and the company did not explain the decline [1].

Progress Two: Margins Recovered Without Cutting Investment

Adjusted EBITDA was $1.060 billion, inside the company's earlier guidance of $950 million to $1.1 billion, and equal to 3.1% of GOV versus 3.0% a year earlier [1][5]. Adjusted research and development expense was $343 million, up 60% year over year, and management said the technology platform remains on its original plan to finish in the first half of 2027 [1][2]. Free cash flow was $787 million, up 9% year over year [1].

For Q4 2026, DoorDash guided to Marketplace GOV of $35.4 billion to $36.4 billion and Adjusted EBITDA of $900 million to $1.1 billion. The company also said year-end timing of merchant payments will reduce reported 2026 free cash flow by $700 million to $800 million [1].

Conclusion

The quarter strengthens the case that DoorDash is converting growth into profit. Organic growth and monetization held steady, margins matched the prior year after adding Deliveroo and raising research spending, and cash flow grew with profit. The next checks are whether Q4 contribution profit stays at or above the year-ago 4.7% of GOV, whether Adjusted EBITDA as a share of GOV stays above the year-ago 2.6%, and whether the new verticals reach positive gross profit by year end [1]. Before closing, the Instacart deal will be judged on approvals and financing, and synergies would show up no earlier than the second year after closing.
