Cadence (CDNS) Q3 2026 Earnings: Restructuring Pushes GAAP Margin Below Guidance

Summary
Cadence Q3 2026 revenue rose 22% to $1.633 billion and beat guidance, but a $42.16 million restructuring charge cut GAAP operating margin to 26.2%, below its guided floor.
Cadence's Q3 2026 earnings beat its revenue guidance, but a restructuring charge pushed GAAP operating margin below the guided range. Cadence reported results for the quarter ended September 30, 2026 on October 26, 2026 and held an earnings call the same day [1][2][3]. Revenue grew faster than guided, and the profit cost of its Hexagon acquisition became clearer.
Four operating questions framed the quarter: whether strong IP growth would continue, whether China and hardware could match a high prior-year base, whether margins would hold after the Hexagon D&E business was consolidated, and whether backlog could keep growing in a light renewal year. IP was 15% of revenue and its growth slowed to 24%. China's share rose to 16%, and hardware set another record. Backlog reached a record $8.2 billion, but revenue expected to be recognized in the next 12 months stayed at $4.2 billion [1][2].
GAAP operating margin fell below the bottom of guidance because of the restructuring charge, while non-GAAP margin stayed inside its range [1]. Overall, growth is accelerating and profit conversion in the original business has not weakened. The D&E business earns almost nothing, and Cadence has started adjusting costs for 2027; the result is not yet proven.
Cadence is one of the three largest EDA (electronic design automation) vendors. It sells design software, emulation hardware and semiconductor IP to chip and electronic-system companies, organized into Core EDA, Semiconductor IP, and System Design and Analysis (SD&A), and most revenue comes from multi-year subscriptions [4]. In February 2026, Cadence bought Hexagon's design and engineering (D&E) business for about $2.9 billion, and that revenue is reported in SD&A [5].
Restructuring pushed GAAP operating margin below guidance
Cadence's Q3 GAAP operating margin was 26.2%, below the 27.5%-28.5% range guided in July and below 31.8% a year earlier [1][6]. The gap came from a $42.16 million restructuring charge, equal to 2.6% of revenue, while the July Q3 guidance assumed 0% for restructuring [1][6]. Excluding restructuring, GAAP margin would have been about 28.8%, above the top of the original range. Cadence did not say which business the restructuring targets or how much it expects to save, and headcount still rose to 15,753 [2].
The charge is a one-time hit. Q3 GAAP earnings per share were $1.05, unchanged from a year earlier [1]. Cadence guided Q4 GAAP operating margin to 30%-31%, with restructuring assumed at 0% [1][2].
Hexagon D&E is on revenue plan but adds almost no profit
The CFO quantified Hexagon D&E's profit impact for the first time. He said D&E should bring about $160 million of revenue this year, slightly better than plan, but contributes almost no operating profit; excluding D&E, Cadence's incremental margin is in its usual 54%-55% range [3]. The CFO also said Cadence is taking steps now to improve next year, as it did when integrating BETA CAE [3]. The Q3 restructuring lines up in timing with that statement, but Cadence has not disclosed a link between the two.
Non-GAAP operating margin stayed within guidance. Q3 non-GAAP operating margin was 44.1%, in the upper half of the 43.5%-44.5% range, compared with 47.6% a year earlier [1][6]. G&A expense rose to $113 million from $78 million a year earlier, which the CFO attributed to annual charitable contributions moving into Q3 [1][3]. SD&A revenue grew 30% year over year and made up 16% of revenue [1]. Cadence raised its full-year non-GAAP operating margin outlook to 44.2%-45.2% from 43.75%-44.75% [2].
Revenue accelerated while cash lagged
Q3 revenue was $1.633 billion, up 22% year over year and above the top of the $1.595-$1.625 billion guidance range [1][7]. The CEO said recurring revenue growth excluding hardware rose to 18% from 11% last year and attributed it to AI agents driving more tool usage, though Cadence does not disclose that revenue separately [3]. Cadence raised its full-year revenue outlook for the third time, to $6.387-$6.417 billion, or about 21% growth [2].
Cash and near-term visibility did not improve at the same pace. Q3 operating cash flow was $424 million, down from $635 million in Q2; lower payables and inventory that rose to $449 million tied up working capital, and the CFO said the inventory supports delivery of backlog orders [1][2][3]. Cadence kept its full-year operating cash flow outlook of about $2.0 billion, which requires about $586 million in Q4 [1][2].
Conclusion
The quarter strengthens the case for Cadence's growth. Revenue, backlog and recurring revenue all rose, and margins in the original business held steady. D&E contributes almost no profit, restructuring pushed GAAP margin below guidance, and cash generation lagged slightly because of working capital. The next tests are whether the restructuring is a one-off and whether 2027 guidance shows D&E improving; whether Q4 lifts backlog and the 12-month portion; and whether China revenue holds after the BIS affiliates-rule suspension expires on November 9, 2026 [8].
