Aon (AON) Q3 2026 Earnings: Organic Growth Speeds Up, Free Cash Flow Lags

Summary
Aon grew organic revenue 6% in Q3 2026 and Commercial Risk reached 7%, but nine-month free cash flow rose only 3%, leaving the full-year target to Q4.
Aon's Q3 2026 earnings showed faster organic growth and margin expansion, while free cash flow fell behind the full-year target. Aon plc reported results for the quarter ended September 30, 2026 on October 28, 2026, in an 8-K earnings release and its 10-Q [1][2]. Organic revenue grew 6% company-wide, Commercial Risk organic growth rose to 7%, and the adjusted operating margin expanded 70 basis points [1].
Four questions framed this quarter: whether Commercial Risk could hold its growth as pricing slowed, whether Reinsurance could offset falling rates, whether Human Capital's margin gains after the sale of NFP's wealth business had operating support, and whether margin and free cash flow could meet full-year guidance before the USI acquisition closed. Reinsurance revenue grew 7%, but $24 million of that came from a one-time reversal of previously constrained revenue. Removing it arithmetically against the prior-year quarter's revenue leaves roughly 2-3%, slower than the 5% in Q2 [1][2][3]. In Human Capital, Health grew 6% and Wealth 4%, and the margin rose 50 basis points, yet adjusted operating income fell 2%, so the margin gain still came mainly from the divestiture [2]. Overall, growth got stronger, profit conversion stayed on plan, and cash generation lagged profit.
Aon is one of the world's largest insurance brokers and risk consultants, and it does not underwrite risk itself. The company places insurance and reinsurance for businesses and earns commissions based on premiums, and it charges fees to employers for health benefits, retirement and talent consulting. Commercial Risk generated $8.497 billion of revenue in 2025, about half of the company total [4].
Free cash flow is growing more slowly than profit
Aon kept expanding its margin, but cash conversion did not keep pace. The adjusted operating margin was 27.0% in Q3, up 70 basis points year over year, and 32.1% for the first nine months, up 80 basis points, in line with the company's guidance for 70-80 basis points of full-year expansion [1][5]. Free cash flow for the first nine months was $1.943 billion, up only 3% from a year earlier, and Q3 free cash flow alone was $1.097 billion, up 2% [1][2]. The company attributed the gap to working capital and USI transaction costs; receivables increased $591 million in the first nine months, compared with $342 million a year earlier [1][2].
That leaves the full-year target concentrated in Q4. On the earnings call, management reaffirmed double-digit free cash flow growth for 2026 on a standalone basis, excluding USI transaction costs, and said Q4 is seasonally stronger [6]. Using roughly $3.2 billion of 2025 free cash flow as the base, simple arithmetic puts the Q4 requirement at about $1.6 billion, more than 20% above the prior-year quarter. Net restructuring savings were $20 million in Q3, below the $25 million per quarter in the first half [2].
The USI closing will change both the uses and the cost of cash. Aon expects to complete the acquisition in Q4, then prioritize debt repayment, with a path to its 2.8x-3.0x leverage objective in about 24 months [1]. Interest expense was $206 million in Q3, flat year over year, and management guided to about $410 million of interest expense in Q4 [2][6]. Aon repurchased no shares in Q3; S&P moved its outlook on Aon's A- rating to negative, and Fitch placed its BBB+ rating under negative review [1][2]. If cash conversion keeps lagging, it will constrain the pace of debt repayment.
Commercial Risk returned to 7% growth as pricing slowed
Commercial Risk organic revenue grew 7% in Q3, up from 5% in Q2 [2][3]. Aon attributed the growth to net new business and ongoing strong client retention in North America and EMEA, with strong growth in North American M&A services and U.S. core property and casualty [2]. Net market impact, the combined effect of rate and insured-exposure changes, was only slightly positive [2].
The growth therefore came mainly from more clients and projects, with little help from pricing. Organic growth has now stayed above 5% for two consecutive quarters, which confirms the earlier view of this business. The Risk Capital adjusted operating margin rose 40 basis points, and the company attributed the segment's 8% adjusted operating income growth to 7% organic growth in both Commercial Risk and Reinsurance [2]. Growth in construction and data center projects slowed from the first half, and management said permitting and energy costs are affecting project timing [6]. Aon did not disclose this quarter's new-business contribution in percentage points or the change in Commercial Risk retention, so their separate contributions cannot be split.
Conclusion
The Q3 report strengthens the case on growth and weakens it on cash generation. The one-time reinsurance reversal and the Human Capital divestiture effect made some reported figures look better than the underlying operations. Free cash flow grew at half the rate of adjusted operating income, the full-year target now depends on Q4, and after the closing, interest expense roughly doubles while buybacks stay paused. The next evidence to check is whether Q4 free cash flow reaches about $1.6 billion, whether full-year restructuring savings reach $100 million, how debt repayment proceeds after the USI closing, and how the January 2027 reinsurance renewals go. The call details come from a summary, and 2025 free cash flow is an approximation, so the arithmetic carries some error.
