Calisa Acquisition Corp entered into a securities purchase agreement to issue 800,000 Class A ordinary shares at $10.00 per share for total gross proceeds of $8 million, in a private placement exempt from registration under Section 4(a)(2) of the Securities Act of 1933 and/or Regulation D and Regulation S, to be consummated immediately prior to the closing of its business combination with Goodvision AI Inc.
