Waters (WAT) Q3 2026 earnings: EPS beat, free cash flow falls

Summary
Waters (WAT) Q3 2026 adjusted EPS of $4.10 beat guidance, but adjusted free cash flow fell to $68 million from $160 million as inventory and an SAP migration tied up cash.
Waters (WAT) third-quarter 2026 earnings beat its profit guidance, but free cash flow fell by close to 60% from a year earlier. The company reported results for the quarter ended October 3, 2026, in an 8-K earnings release and on its earnings call on November 3, 2026 [1][2]. Coming into the quarter, three questions mattered: whether the legacy instrument replacement cycle would hold up, whether the acquired BD businesses would grow faster, and whether integration savings would turn into cash. Legacy organic revenue grew 10% in constant currency. Price increases in the acquired businesses took hold, but diagnostics was flat, which slowed comparable growth to 1%. Adjusted EPS beat guidance, while adjusted free cash flow fell close to 60% [1]. Overall, growth now leans on the legacy business, and profits are coming through faster than cash.
Waters makes liquid chromatography, mass spectrometry and thermal analysis instruments, and it sells columns, test kits and service contracts to its installed base. Pharmaceutical companies are its largest customer group and contributed about $1.873 billion of revenue in 2025 [3]. In February 2026, Waters combined with BD's Biosciences and Diagnostic Solutions businesses, adding flow cytometry and diagnostics products and roughly doubling its revenue base [3].
Adjusted EPS beat guidance while free cash flow fell close to 60%
Third-quarter adjusted EPS was $4.10, up 21% from a year earlier and above the $3.95-$4.05 range the company gave in August [1][4]. Waters raised its full-year adjusted EPS guidance to $14.60-$14.70 and kept its 28.2% adjusted EBIT margin target [1][2]. Management said synergy work was ahead of schedule, but it did not disclose how much cost savings were booked in the quarter [1][2].
Cash flow moved the other way. Third-quarter operating cash flow was $98 million, compared with $187 million a year earlier. Adjusted free cash flow was $68 million, compared with $160 million [1]. Working capital and other items absorbed $384 million, compared with $28 million a year earlier [1].
Management linked the cash shortfall to several factors: payment timing from the SAP system migration, higher receivables from stronger sales, one-time integration costs, about $150 million of receivables from BD under transition service agreements, and inventory days of about 160, against a historical level of about 110 [2]. Management expects free cash flow to return to roughly the level of net income only after integration costs fade and ERP migrations are completed in 2028-2029 [2]. Restoring cash conversion is therefore a multi-year task, and debt repayment will slow as a result.
Price gains in the acquired businesses, offset by flat diagnostics
The acquired businesses generated $896 million of third-quarter revenue, slightly above guidance of about $895 million [1][4]. On a prior-year comparable basis, however, they grew only 1%, after 4% in the second quarter [5]. The Biosciences Division reported $396 million of revenue, up about 2%. Its reagent growth rose to the high single digits, and flow research returned to growth of 1% after a decline [1][2]. Diagnostic Solutions revenue was $500 million, roughly flat on a prior-year comparable basis, as molecular diagnostics and point-of-care fell 6% [1][2].
Management attributed the flat diagnostics result to China's DRG reimbursement policy and to deliberate channel inventory reduction. Diagnostics revenue in China fell more than 20%, and the company did not disclose how much each factor contributed [2]. Net price realization reached 120 basis points, up from 90 basis points in the second quarter [2][6]. Local manufacturing in China also came online ahead of schedule [2]. Pricing lifted profit while diagnostics volume stayed under pressure, so the revitalization measures are working but have not yet accelerated combined growth.
Waters guided fourth-quarter acquired business revenue to about $817 million and full-year owned-period revenue to about $3.050 billion, slightly above the prior figure of about $3.045 billion [1][4]. Management said fourth-quarter growth would reach double digits on a days-adjusted basis, a claim that cannot be checked directly against reported figures [1]. The company's starting assumption for 2027 is mid-single-digit growth for the legacy BD businesses [2].
Progress: legacy instruments and chemistry accelerated together
Legacy organic revenue was $871 million, up 10% in constant currency and at the top of the company's 8%-10% guidance [1][4]. Analytical Sciences instrument revenue was $282 million, up 10% in constant currency, compared with 8% in the second quarter. Chemistry consumables revenue was $157 million, up 12% in constant currency [1][5]. Management attributed instrument growth to replacement demand and to GLP-1s, PFAS testing and India generics, but it gave no order data to support this [1]. The acceleration needs to continue in the fourth quarter before it counts as two consecutive quarters of confirmation. Company guidance for the fourth quarter is 7%-9% constant-currency organic growth [1].
Conclusion
The results strengthen the case for legacy growth and profit delivery, but cash conversion clearly lags profit, and diagnostics volume in the acquired businesses has yet to recover. The third-quarter 10-Q has not been filed, so segment profit and days sales outstanding excluding BD receivables remain unknown. Lower inventory days, a year-over-year rise in free cash flow and a return to growth in diagnostics next quarter would improve this picture. Further declines in diagnostics or another year-over-year fall in cash flow would extend the pressure.
