Tamboran (TBN) Q4 FY2026: Going-Concern Doubt Persists After First Gas

Summary
Tamboran began gas sales on September 5, 2026 and holds $219.1 million in cash, but its audited fiscal 2026 report still flags substantial going-concern doubt.
Tamboran (TBN) began its first gas sales after fiscal 2026 ended, but its going-concern doubt did not lift. On September 25, 2026 the company released its 10-K for the fiscal year ended June 30, 2026 and its fourth-quarter activities report [1][2]. Gas sales began on September 5 in line with guidance and the estimated cost per well fell to about $25 million, yet the audited annual report still carries substantial doubt about the company's ability to continue as a going concern [1]. The company has moved one stage forward, while its reliance on outside capital is unchanged.
The prior questions were threefold: whether the pilot project could turn first gas into a lasting contracted revenue line, whether the annual report would remove the going-concern doubt, and whether well costs could fall from about $30 million toward the company's $16 million target.
Tamboran is listed in New York and Australia and develops shale gas in the Beetaloo Basin of Australia's Northern Territory [1]. Its only binding sales contract is a take-or-pay agreement to supply the Northern Territory Government with 40 terajoules per day (TJ/d) from the Shenandoah South pilot project at a fixed, inflation-indexed price [1].
Going-concern doubt remains after first gas
The audited annual report still finds substantial doubt about the company's ability to continue as a going concern, and the auditor kept its explanatory paragraph [1]. In the fiscal third quarter, management said it would evaluate alleviating the doubt in connection with the annual financial statements [4]. The annual report moves that evaluation to "future reporting periods" and adds funding of future commitments as a condition [1]. First gas alone was not enough to remove the doubt.
Near-term cash is not tight. Cash at June 30 was $219.1 million, mainly from an April equity raise of about $186 million net [1][3], and $31 million of the syndicated facility remained undrawn on a net basis [2]. The company estimates it needs to invest about $113.3 million in fiscal 2027 and says its current funds can support the next twelve months [1]. Available funds are roughly 2.2 times planned investment, but the company did not say whether that plan includes the commitment wells.
The source of the doubt has shifted beyond twelve months. The 10-K says commitment wells required under its exploration permits fall due shortly after the evaluation period and will need new equity or debt, a farm-down, asset sales or a change in work programs to fund [1]. Five-year capital commitments for the Beetaloo Joint Venture total $73.3 million [1]. Operating cash outflow was $34.6 million in fiscal 2026, and the company does not expect positive operating cash flow until 2028 at the earliest [1]. Shares outstanding rose to 34,872,663 at period end from 16,717,289 a year earlier [1]. Funding the commitment wells could still bring dilution or a transfer of working interest.
First gas arrived on schedule, but revenue has not taken shape
The pilot project began selling gas on September 5, 2026, in line with company guidance [1], and the compression facility was built on time and about $9 million below budget [3]. The project is still commissioning, so supply is interruptible and gas is sold at 75% of the contract price [1][3]. During the low-demand season the Northern Territory Government nominated only 25 TJ/d [2]; management said nominations may rise to 40 TJ/d by year-end [5].
The size and accounting of first revenue remain uncertain. Tamboran had no natural gas revenue in fiscal 2026 [1]. Some commissioning-period revenue may be capitalized rather than recorded in the income statement [3], and the company says substantial revenue will come in early calendar 2027 at the earliest [1]. Take-or-pay terms apply only after commissioning ends, which the company expects in the fourth quarter of calendar 2026 [1]. The 10-K also notes lower normalized flow rates in one well without naming it [1].
Estimated well cost is lower
The company estimates gross cost of about $25 million per well for the three SS1 pad wells, compared with about $30 million in the prior annual report; it did not say whether the two estimates use the same scope [1][6]. The SS1-4H well reached total depth in 24 days against a target of under 25 days [2]. Local sand was used successfully in 10 frac stages, and management estimates savings of about $4 million per well pending production data [2][5]. At a 44.375% working interest, the three wells would cost about $6.7 million less in total, a limited effect on funding needs [2].
Conclusion
The results show Tamboran entering the gas sales stage, while revenue, profit and cash remain under test. Commissioning prices, nominated volumes and capitalization mean revenue will not soon cover fiscal 2026 operating expenses of $32.7 million [1]. Cash covers the next year of investment, but the going-concern doubt is unresolved and the commitment wells still depend on outside funding.
Three pieces of evidence come next. The company plans to report its first quarterly gas sales and revenue in November [5]. Whether commissioning finishes on time and moves to 40 TJ/d supply, and whether the three SS1 wells are tied in during the December quarter, will decide whether revenue continues [2]. If later quarterly reports remove the doubt without new equity, the funding picture improves; if the commitment wells require new equity or a sale of interest, it weakens.
