Summary

TD SYNNEX beat guidance in fiscal Q3 2026 as Hyve billings rose 117%, but inventory build drove free cash flow to -$976 million and net leverage to 1.9x.

TD SYNNEX (SNX) reported fiscal Q3 2026 results on September 24, 2026, through an 8-K press release and an earnings call, covering the quarter ended August 31, 2026. Gross billings and earnings came in above the high end of company guidance, but the company burned a large amount of cash [1][2]. Three questions had framed the stock: whether distribution could hold volumes and margins while passing through price increases, whether Hyve could protect margins while onboarding new customers, and whether the working capital that Hyve absorbs is a temporary investment or a lasting burden. This quarter, distribution margins rose while PC units turned lower, Hyve profit dollars jumped while its margin fell year over year, and free cash flow was about -$976 million [3].

The overall picture is that the two businesses still share one balance sheet, but Hyve's weight and the working capital burden have both increased. Margin questions in both businesses remain open. Whether the working capital build is only temporary is now the most pressing question, and fourth-quarter cash collection will answer it.

TD SYNNEX is a global IT distributor that also designs and delivers servers, storage and networking equipment for hyperscale cloud customers through Hyve Solutions [4]. In the quarter, non-GAAP gross billings, which measure business volume by invoiced amounts, totaled $31.8 billion. Distribution accounted for about 78% of billings at an operating margin below 2%, while Hyve accounted for about 22% and contributed about one-third of operating profit [2].

Record earnings did not turn into cash

Cash outflow in the third quarter far exceeded the prior quarter. In Q2, free cash flow was about -$330 million and net leverage was 1.6 times [5][6]. In Q3, free cash flow was -$976 million, compared with a positive figure a year earlier, and the nine-month total reached -$2.237 billion [3]. Inventory growth absorbed $1.42 billion of cash in the quarter, and the inventory balance rose from $9.50 billion at the end of the last fiscal year to $15.29 billion [3][1].

Management attributed roughly $1 billion of cash consumption to inventory in Hyve's supply chain business and to stocking for new programs [2]. Borrowing covered the gap. The company ended the quarter with $749 million of cash and net leverage of 1.9 times, drew a net $1.5 billion on revolving credit during the quarter, and repurchased $100 million of stock, down from a year earlier [2][3]. Non-GAAP net income was $456 million [1], far from the long-term goal of free cash flow equal to 95% of net income [7]. Management said most of the required investment is now in place, and guided to cash generation in Q4 with a gross cash conversion cycle a couple of days shorter than this quarter's 22 days [2]. These remain company guidance, and the company did not split working capital use between the two businesses.

Hyve grew faster than expected, but its margin was diluted year over year

Hyve's volume kept jumping without any contribution from new customers. Its non-GAAP gross billings rose from $5.5 billion in Q2 [8] to $7.0 billion, up 117% year over year, with the increase coming from existing customers and expanded programs [2].

Hyve's profit dollars rose sharply, but its margin on billings fell below last year's level. Non-GAAP operating income was $253 million, up 56% year over year, and the operating margin on gross billings was 3.61%, compared with 5.04% a year earlier [2]. Management attributed the decline to large AI server programs with below-average margins, said the dilution has stabilized, and said newly won programs are mainly networking and carry margins that are neutral to accretive [2]. Based on Q2 segment data, the same ratio was about 3.3% last quarter [9][10], which implies a sequential improvement of about 0.3 percentage points. Hyve segment revenue for Q3 was not disclosed, so this estimate is only indicative. Management said new-customer shipments are expected to begin in Q4 [2], and the margins of the new programs can only be verified once volumes ramp.

Distribution margins rose as PC units turned negative

Distribution profitability kept improving. Billings rose from $23.4 billion in Q2 with a 1.9% operating margin [11][12] to $24.8 billion in Q3, up 27% year over year. Distribution operating income was $483 million, up 55%, and the operating margin reached 1.95%, 35 basis points higher than a year earlier [2].

Higher prices have started to weigh on PC volumes. PC units grew in the mid-single digits in Q2 [13]. In Q3, Endpoint Solutions billings grew 16%, while PC units declined by a mid-to-high single-digit percentage; component inflation and a shift toward mid-range and high-end models lifted selling prices [2]. The margin gain came mainly from cost control, as gross margin slipped slightly on mix effects such as large North American infrastructure orders. Management said like-for-like category margins were stable but gave no data, and the strategic inventory benefit that the company quantified in Q2 [14] was not disclosed this quarter.

Conclusion

Growth and profit were stronger than company guidance this quarter, while cash generation weakened sharply. Group non-GAAP operating income rose 55%, faster than the 40% growth in billings [1], but the same Hyve growth that lifted earnings consumed a large amount of cash. If Q4 free cash flow turns positive, the cash conversion cycle shortens, and Hyve's new customers begin shipping without further margin erosion, the working capital build is more likely a phase of investment. If cash keeps flowing out and net leverage rises above 2 times, the burden is getting heavier. For distribution, the next test is whether the decline in PC units deepens.
